By accessing, creating an account on, or using Proofsaledata.com ("Proofsale," "the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.
If you are using Proofsale on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.
If you do not agree to these Terms, you must not use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

The Service is provided for informational and business intelligence purposes only. Proofsale is an independent data aggregation platform and is not affiliated with, endorsed by, or sponsored by any government agency.
No Warranty of Accuracy. All data displayed on Proofsale is sourced from third-party government databases. While we make reasonable efforts to present this data accurately, we make no representations or warranties — express or implied — regarding the accuracy, completeness, timeliness, or reliability of any data displayed.
Data Limitations. Government data may contain errors, omissions, delays, or inaccuracies. Reporting periods, business names, and addresses may change. Closed businesses may still appear in historical data.
Not Financial or Legal Advice. Nothing on Proofsale constitutes financial, investment, legal, or business advice. You should independently verify all information before making any business decision based on data from Proofsale.
No Reliance. You expressly agree not to rely solely on Proofsale data for any significant business decision, investment, real estate transaction, or legal matter. We expressly disclaim all liability for decisions made based on our data.
Eligibility. You must be at least 18 years of age to create an account. By registering, you represent that you are 18 or older.
Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account at proofsaledata@gmail.com.
Accurate Information. You agree to provide accurate, current, and complete information during registration and to update your information as needed.
One Account Per Person. You may not create multiple accounts. Accounts may not be shared, sold, or transferred.
Free Tier. Free accounts are limited to 5 searches per day. We reserve the right to modify free tier limits at any time with 14 days notice.
Pro Subscription. Proofsale Pro costs $9.99 per month, billed monthly through Stripe. Your subscription renews automatically on your billing date unless cancelled.
Promo Codes. Promo codes provide temporary Pro access and are subject to individual terms specified at the time of issuance. Promo codes have no cash value and cannot be exchanged for refunds or credits.
Cancellation. You may cancel your subscription at any time through the Account settings in your dashboard. Cancellation takes effect at the end of your current billing period. You will continue to have Pro access until your paid period ends.
No Refunds. All subscription fees are non-refundable except where required by applicable law. We do not provide partial refunds for unused portions of a billing period.
Price Changes. We reserve the right to change subscription prices with 30 days' advance notice to existing subscribers via email. Continued use after the price change date constitutes acceptance of the new pricing.
Failed Payments. If your payment fails, we will attempt to charge your payment method multiple times over a 7-day period. If payment cannot be collected, your account will be downgraded to the free tier.
You agree to use Proofsale only for lawful purposes and in compliance with these Terms. You agree not to:

Our Property. The Proofsale platform, including its design, software, code, features, and branding, is owned by Proofsaledata.com and is protected by copyright, trademark, and other intellectual property laws.
Public Data. The underlying alcohol sales data displayed on Proofsale is sourced from public government records and is not proprietary to Proofsale. You may use this data for your own business purposes but may not redistribute it as a data product or build a competing service with it.
Your Content. You retain ownership of any content you submit to Proofsale. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display that content in connection with providing the Service.
Feedback. If you provide feedback or suggestions about our Service, we may use that feedback without any obligation to you.
Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROOFSALE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
Cap on Liability. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
Basis of the Bargain. YOU ACKNOWLEDGE THAT PROOFSALE HAS SET ITS PRICES AND ENTERED INTO THESE TERMS IN RELIANCE ON THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, AND THAT THESE FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
You agree to defend, indemnify, and hold harmless Proofsale, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your violation of any third-party right, or your violation of any applicable law.
Informal Resolution. Before filing any formal legal action, you agree to first contact us at proofsaledata@gmail.com and describe the nature of your dispute. We will attempt to resolve the dispute informally within 30 days.
Binding Arbitration. If informal resolution fails, you and Proofsale agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), rather than in court, except that either party may bring claims in small claims court.
Class Action Waiver. YOU AND PROOFSALE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing proofsaledata@gmail.com with "Arbitration Opt-Out" in the subject line.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Nueces County, Texas for resolution of any dispute.

By You. You may terminate your account at any time by emailing proofsaledata@gmail.com. Account deletion will be processed within 30 days.
By Us. We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraud or abuse, non-payment, or inactivity for more than 24 months.
Effect of Termination. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proofsale regarding your use of the Service and supersede any prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
